Introduction

Brunel Energy is looking for General Legal Counsel to join our team in Saudi Arabia. We are a leading provider of Engineering and Technical services to the Oil and Gas Industry.

What are you going to do 

  • Reviews all internal policies, rules and regulations from a legal standpoint, to ensure that the company is fully compliant with all legislation and government rules and regulations;
  • Defines and runs an optimal organization structure for the Legal & Compliance department so that resources are optimally utilized, and communication can take place in an efficient manner;
  • Provides advice on all legal matters to Company Management, General Assembly, Board of Directors to protect the company’s interests by compliance with all applicable statutes, rules and regulations and minimize liability, while highlighting the risk;
  • Directs legal research and confirms legal opinion on commercial matters e.g. customers, suppliers, vendors, marketers, business partners, contractors etc. with a view to protecting and enhancing company’s rights or minimizing liability;
  • Directs, reviews, negotiates and draft all contracts with a view to advancing business strategic needs and objectives; preventing legal exposure and evaluation of risk; counsels on the interpretation and application of contractual provisions to implement legal contracts and the memorandum of association. Custodian of original agreements, company registration documents;
  • Oversees the company hiring process in accordance with employment law standards compliance with all domestic and contractual obligations & applicable statutes
  • Directs the investigation and disciplinary enquiries with employees for alleged misconduct in order to establish the merits of the allegation and recommend the appropriate disciplinary action;
  • Advises and ensures corporate compliance with all legislation and governmental requirements, and changes thereof, in order to protect the company’s interests; direct investigation of new processes, procedures and policies for compliance with all legislation;
  • Drafts and reviews the Executive Management correspondence to all stakeholders to ensure compliance with all domestic and contractual obligations and applicable statutes;
  • Advises on legal implications of new projects, investments, including joint ventures, alliances, mergers etc. in order to protect the corporate interests and minimize liabilities. Develops legal strategies to further and enhance business strategic objectives;
  • Represents and defends the company before judicial/arbitration administration and governmental authorities in litigation matters and/or acquiring registrations, licenses, permits, etc. to comply with government requirements;
  • Evaluates and advises on the efficiency and quality of external professional legal services to ensure the company is getting the best value for the fees paid;
  • Appoints, manages and works with external professional legal service providers to deliver business strategic needs and objectives.

Essential skills and knowledge 

  • Post Graduate University degree in law. Post graduate qualification in one aspect of commercial law preferred;
  • Member of a Professional Law Society and admitted to practice either as a solicitor (attorney) or barrister (advocate);
  • Proficiency in English Language;
  • Experience:15 Years of experience.
